Code of Ethics SYN Community


Our code of ethics are formed to protect members in the business and to ensure a spirit of working together.

Definition

"Business Preview"means a preview on the opportunity and viability of the business in respect of the Product (hereinafter defined);

"Committee" means the Dukes and Challenging Dukes in SYN (hereinafter defined);
"Company" means RZ CORPORATION SDN BHD (Company No. 464438-H);
"DCHL" means DIGITAL CROWN HOLDINGS LIMITED;
"HP1" means 'Home Party One' which is an event attended by Partner(s)(hereinafter defined) and Prospect(s) (hereinafter defined);
"HP2" means 'Home Party Two' which is an event attended by Partner(s) only;
"Marketing Plan" means the Company's compensation plan as described in the Company's starter-kit;
"NDO" means 'New Distributor Orientation';
"NDG" means 'New Distributor Gathering';
"Offer" means giving any form of incentive to the Prospect to entice the Prospect [e.g. offering PV (hereinafter defined) and/or PIN (hereinafter defined) to the Prospect for free or at discounted price];
"Offence" means the act of committing any Unethical Practice (hereinafter defined), which if found guilty may result in the Committee:
(a) recommending to the Company to take such action which the Company deems fit; and/or
(b) disallowing or excluding the Partner from (i) participating in any of SYN’s events or activities; (ii) accessing any premises and/or business centers where SYN’s activities are conducted; and/or (iii) being associated with SYN in any manner whatsoever;
"OPP" means 'Opportunity Product and Presentation';
"Outside" means a non-Company or non-SYN premises or a place which is not conducting any of the Company’s or SYN’s events, functions or activities;
"Partner" means an individual or corporation who has been accepted by the Company as an independent distributor of the Product (hereinafter defined);
"PIN" means a certain position in the Marketing Plan (i.e. Franchisee, Baron, Count, Marquis etc.);
"Product" means the range of products licensed to DCHL which includes the following brands, namely, LAMPE BERGER and ESTEBEL;
"Prospect" means a person who has:-

(a) seen the Marketing Plan within the premises of the Company or SYN or during any of the Company’s or SYN’s events, functions or activities; OR
(b) visited the Company’s premises; OR
(c) visited SYN’s premises; OR
(d) attended any of the Company’s events, functions or activities which include but are not limited to OPP, product launches and dinner; OR
(e) attended any of SYN’s events, functions or activities which include but are not limited to HP1, HP2, NDG, NDO, OPP or Business Preview; OR
(f) purchased or used the Product;
AND
duly signed the Prospect Registration Form or Prospect Registration Book (hereinafter defined).
"Prospect Registration Book" means the book which contains relevant information on the Prospect, the Partner who prospected him and the Partner’s upline Marquis or Duke (as the case may be) and such book is maintained or kept at the respective SYN (hereinafter defined) centres;
"Prospect Registration Form" means the form which contains relevant information on the Prospect, the Partner who prospected him and the Partner’s upline Marquis or Duke (as the case may be) and such form is maintained or kept at the respective SYN (hereinafter defined) centres;
"PV" means point value as described in the Marketing Plan;
"SYN" means the STEVEN YEAM NETWORK;
"Tee-Down" means to put down, degrade or defame; and
"Unethical Practice" means any of the following unethical conduct(s) which include but are not limited to:-

(a) Tee-Down;
(b) making Offer; or
(c) any other conduct which is deemed to be unethical by the Committee.



Scenario 1 – Prospecting at Company’s or SYN’s premises, events, functions or activities

Mary has been prospected by A. Mary is therefore a Prospect.

Subsequently, B prospects Mary and learns that Mary has already been prospected by A. B should, in accordance with SYN’s Code of Ethics, help A to enroll Mary.

In the event B opts to prospect Mary instead and if a period of two (2) months has lapsed since Mary had duly signed the Prospect Registration Form or Prospect Registration Book upon being prospected by A, Mary is thus 'open for all' meaning that B can proceed to prospect Mary by verbally informing A as a matter of courtesy..

However, if still within the grace period of two (2) months, B is not allowed to follow-up on Mary unless specifically requested by A to help A enroll Mary. During this two (2) months grace period, B is also not allowed to commit any Unethical Practice. If B is found to be guilty of committing any Unethical Practice, B commits an Offence and faces the consequences thereof.

Notwithstanding the foregoing, in the event of any unresolved issues arising therefrom, the matter would be referred to the Committee for a decision based on its sole and absolute discretion.
Scenario 2 – Prospecting Outside

A has shown Mary the Marketing Plan Outside.

Subsequently, B prospects Mary and learns that A has already shown the Marketing Plan to Mary Outside. B should, in accordance with SYN's Code of Ethics, help A to enroll Mary.

In the event B opts to prospect Mary instead and if a period of six (6) months has lapsed since Mary saw the Marketing Plan Outside, Mary is thus 'open for all' meaning that B can proceed to prospect Mary by verbally informing A as a matter of courtesy.

However, if still within the grace period of six (6) months, A would then be given a grace period of one (1) month from the date of B's verbal notification to A to enroll Mary During this one (1) month grace period, B is not allowed to commit any Unethical Practice. If B is found to be guilty of committing any Unethical Practice, B commits an Offence and faces the consequences thereof.

Notwithstanding the foregoing, in the event of any unresolved issues arising therefrom, the matter would be referred to the Committee for a decision based on its sole and absolute discretion.
Scenario 3 – Husband & Wife

Wife is already a Partner of A and is actively involved in the business.

Subsequently, B prospects Husband and learns that Husband's Wife has already joined A and is also actively involved in the business. B should, in accordance with SYN's Code of Ethics, encourage the Husband to join his Wife. B is therefore not allowed to prospect Husband.

On the other hand, if Wife had joined A out of obligation and clearly informed A that she only intends to be a user of the Product (and not a builder of the business), and if B subsequently prospects Wife’s Husband, the code of ethics stated in Scenario 1 or 2 (as the case may be) shall apply to B accordingly.

In the event B successfully enrolls the Husband to join the business and the Wife, upon seeing her Husband actively involved in the business, decides to join her Husband to do the business together, the Wife shall have to resign as a Partner and wait for a six (6) months period to lapse before enrolling herself as her Husband's Partner instead.

During this six (6) months waiting period, the Wife is not allowed to step into the Company's or SYN's premises and neither is she allowed to attend and/or participate in any of the Company’s or SYN’s events, functions or activities UNLESS A gives consent.

In the event if such consent is not granted but the Wife steps into the Company's or SYN's premises and attends and/or participates in the Company's or SYN's events, functions or activities, she will be deemed to have committed an Unethical Practice and faces the consequences thereof.

Vice versa if Husband had already joined as a Partner of A instead.

Notwithstanding the foregoing, in the event of any unresolved issues arising therefrom, the matter would be referred to the Committee for a decision based on its sole and absolute discretion.
Scenario 4 – Prospect Signed Distributor Application Form & Paid RM150-00

Mary has duly signed the Distributor Application Form and paid-up RM150-00 to A for purposes of registration.

Subsequently, B prospects Mary and learns that Mary has already signed the Distributor Application Form and paid-up RM150-00 to A. B should, in accordance with SYN's Code of Ethics, help A to enroll Mary.

In the event B opts to prospect Mary instead, B shall verbally notify A of B's intentions in person and A would then be given a grace period of two (2) months from the date Mary signs the Distributor Application Form to enroll Mary.

During this two (2) months-period, B is not allowed to commit any Unethical Practice. If B is found to be guilty of committing any Unethical Practice, B commits an Offence and faces the consequences thereof.

In the event A is unable to enroll Mary at the expiry of this two (2) months-period, Mary is thus 'open for all' meaning that B can proceed to prospect Mary and enroll her. A shall also forthwith refund the RM150-00 to Mary.

Notwithstanding the foregoing, in the event of any unresolved issues arising therefrom, the matter would be referred to the Committee for a decision based on its sole and absolute discretion.
Scenario 5 – Unclear Intention

A knows that Mary is looking for a job.

Subsequently, A invites Mary to the Company's or SYN's premises on the pretext of discussing that job offer. When Mary comes to the Company's or SYN's premises (as the case may be), A shows Mary the Marketing Plan instead.

In such circumstances, A is not entitled to the two (2) months' grace period at all to enroll Mary. Mary is thus 'open for all' meaning that B or any other Partner can proceed to prospect Mary and enroll her.

Notwithstanding the foregoing, if A invites Mary to the Company's or SYN's premises on the pretext of discussing a business opportunity or plan instead with Mary, the two (2) months' grace period applies to A akin to Scenario 1 above.
Scenario 6 – Prospect Signed Distributor Application Form, Paid RM80-00 for Registration & Paid about RM2,000-00 to RM2,500-00 for Franchisee Stocks

Mary has duly signed the Distributor Application Form and paid-up RM150-00 for registration as well as RM2,000-00 to RM2,500-00 to her sponsor Partner for her franchisee stocks.

Upon receipt of the said monies, the sponsor Partner has to immediately register Mary as an Independent Distributor of the Company and pass the franchisee stocks to Mary without further delay.

The sponsor Partner is not allowed to hold onto the monies as this shall tantamount to illegal deposit taking pursuant to the Banking and Financial Institutions Act 1989 and if guilty, the said Partner will be suspended from SYN’s events, functions, activities and/or premises and the Committee may recommend to the Company to suspend and/or terminate the guilty Partner based on its sole and absolute discretion.
